1. ICJ2号ファンドのESGポリシーについて

1.1.ESGポリシーの目的:

インクルージョン・ジャパン株式会社は、国連で合意されたSDGs(持続可能な開発目標)の主要な担い手としてベンチャー企業に注目しており、ICJ2号ファンドを通じて、SDGsの達成に寄与するベンチャー企業の株式へ投資します。また、投資先の事業を通じた社会・環境面のインパクトと、経済的なリターンを両立させるため、投資先のESGマネジメントも重視します。そこで、具体的なファンドの運営方針として、本ESGポリシーを策定しました。

 

1.2 ESGポリシーの適用範囲:

当ポリシーは、ICJ2号ファンドでの投資前のデューデリジェンス、投資意思決定、株式保有中の投資先とのエンゲージメント、投資先のEXIT準備、LPへの報告に関するESG方針・運用プロセスについて規定しています。

 

1.3 ESGポリシーの策定機関:

当ポリシーの策定・改訂は、ICJ2号ファンドの全GPが参加するESG委員会にて行います。

2. 投資前の方針

2.1 デューデリジェンス・プロセス

投資前のデューデリジェンスにおいて、投資委員会から独立したESGの専門家を顧問として招聘し、顧問から投資先のリスク及び機会に関する助言を得ます。

また、投資委員会の各委員も、最終的な投資意思決定においてESGに関するリスク及び機会を適切に判断できるよう、専門的なケイパビリティを高めていきます。

 

2.2 デューデリジェンス・プロセスで重大なESGリスクが確認された場合の判断

デューデリジェンスにおいて、重大なESGリスクが特定された場合には、当該リスクを解消するためのアクションを取れるか否かの確認を、投資先に速やかに行います。もし、投資委員会が、顧問の助言を受けつつ、当該リスクを株式保有期間中に解消することが不可能と判断した場合には、投資を行いません。

また、株主保有期間中に解消することが可能と判断し、最終的に投資した場合には株式保有期間に、当該リスクの解消に向け投資先へのエンゲージメントを続けます。株主提案や株主総会での議決権行使を行う場合もあります。

3.投資実行

投資先企業との投資契約の中に、「重大なESGリスクについて、定期的な確認に応じ、株主に情報を開示する」という内容の要件を記載します。

4. 株式保有中のエンゲージメント

4.1 監督責任

全GPが参加するESG委員会を設置し、半期に1度、各投資担当者は投資先のエンゲージメントについての改善状況等をESG委員会に報告します。ESG委員会は、報告内容に対し、今後の行動についての監督を行います。投資担当者からの報告内容とESG委員会の決定に関しては、顧問からも助言を受けます。

 

4.2 実行責任

各担当者は、投資先との週次〜月次での定期的なコミュニケーションの中でESGのリスク及び機会についても取り扱います。

 

4.3 重大なESGリスクの取り扱い

ESG委員会が、投資先に対し、重大なESGリスクのおそれがあると判断した場合は、投資先に対して要観察事項に指定します。要観察事項が解消されない、もしくは解消の見込みがない場合は、当該投資先への追加出資を行いません。

5. EXIT準備

ESG委員会は、EXIT準備段階において、投資先が、特に、事業を行う国や地域の法令を遵守し、国や地域の法律に準拠した安全で健康的な労働環境を提供しているかを投資先の取締役会に確認していきます。

6. LPへの報告

6.1 重大なESGリスク

ESG委員会にて検討された投資先の重大なESGリスクの論点を議事録として作成し、LPと共有します。

 

6.2 インパクト測定

各投資先担当者が、インパクト測定が投資先の企業価値向上に資すると判断した場合には、Capitals Coalition の “Natural Capital Protocol”および “Social and Human Capital Protocol”等のガイドラインを参照し、インパクト測定を行います。インパクトを測定した場合には、支障がない限り、LPと内容を共有します。

 

6.3 報告サイクル

ESG委員会は、6.1及び6.2に関する内容を、半期に1度LPに報告します。

 

6.4 勉強会

LPの要望に応じて、LP向けのESG勉強会や、LPの事業に関するESG観点でのディスカッションを行います。

ICJ2 Fund Investment Limited Partnership ESG Policy

1. the ESG policy of the ICJ No. 2 Fund

1.1.ESG policy objectives:.

Inclusion Japan K.K. focuses on venture companies as key players in the Sustainable Development Goals (SDGs) agreed by the UN, and invests in venture company shares that contribute to the achievement of the SDGs through the ICJ2 Fund. The fund will also focus on the ESG management of investee companies in order to balance the social and environmental impact of their business with economic returns. Therefore, we have developed this ESG policy as a specific fund management policy.

 

1.2 Scope of ESG policy:.

This policy sets out the ESG policy and operational processes for pre-investment due diligence, investment decision-making, engagement with investees during shareholding, preparation for investee EXIT and reporting to LPs in the ICJ No 2 fund.

 

1.3 ESG policy development bodies:.

The policy is developed and revised by the ESG Committee, which includes all GPs of the ICJ No. 2 Fund.

2. pre-investment policy

2.1 Due diligence process

During pre-investment due diligence, an independent ESG expert is invited by the investment committee as an adviser and advice is obtained from the adviser on the risks and opportunities of the investee.

Each member of the Investment Committee will also enhance their professional capability so that they can appropriately judge ESG-related risks and opportunities in their final investment decisions.

 

2.2 Decisions when significant ESG risks are identified during the due diligence process

If significant ESG risks are identified during due diligence, the Investment Committee will promptly confirm with the investee whether or not it can take action to eliminate such risks. If the Investment Committee, with the advice of the Adviser, determines that it is not possible to eliminate such risks during the shareholding period, the investment will not be made.

If it is determined that the risk can be eliminated during the shareholder holding period and the company ultimately invests in the company, it will continue to engage with the investee during the shareholding period to eliminate the relevant risk. In some cases, shareholder proposals and voting rights at shareholder meetings may be made.

Include a requirement in investment agreements with portfolio companies to ‘disclose information to shareholders on significant ESG risks, subject to periodic checks’.

4. engagement during shareholding

4.1 Supervisory responsibilities

The ESG Committee, which includes all GPs, has been established and each investment officer reports semi-annually to the ESG Committee on the status of improvements in the engagement of the investee, etc. The ESG Committee oversees future actions in response to the content of the report. The adviser also advises on the content of the reports from the investment officer and the decisions of the ESG Committee.

 

4.2 Execution responsibilities

Each officer also deals with ESG risks and opportunities in regular weekly and monthly communications with investees.

 

4.3 Handling of material ESG risks

If the ESG Committee determines that there are potentially significant ESG risks to an investee, it will designate the investee as an Observation Required. If the matter requiring observation has not been resolved or is unlikely to be resolved, no further investment will be made in the investee.

5. preparation for EXIT

During the EXIT preparation phase, the ESG Committee will check with the investee’s board of directors to ensure, inter alia, that the investee complies with the laws and regulations of the country or region in which it operates and provides a safe and healthy working environment that complies with national and local laws.

6. report to the LP

6.1 Significant ESG risks

Minutes are prepared and shared with LPs on issues of significant ESG risks for portfolio companies discussed by the ESG Committee.

 

6.2 Impact measurement

If the respective portfolio company manager decides that impact measurement will contribute to the enhancement of the portfolio company’s corporate value, he or she will refer to guidelines such as the Capitals Coalition’s “Natural Capital Protocol” and “Social and Human Capital Protocol” to measure impact. and Human Capital Protocol. When impact is measured, it is shared with LPs unless there are obstacles.

 

6.3 Reporting cycle

The ESG Committee reports semi-annually to the LP on 6.1 and 6.2.

 

6.4 Study groups

ESG workshops for LPs and discussions on ESG perspectives on an LP’s business, upon request from the LP.
